How Should Cannabis Startups Choose a Tax Service for First-Year Filings?

Choose a firm that already works with licensed cannabis businesses, understands IRC 280E, and can handle federal, state, and cannabis-specific excise filings together. A general preparer may file a correct-looking return that ignores 280E, which creates exposure the IRS can assess years later.

The first return locks in hard-to-undo choices: tax classification, accounting method, inventory costing, and startup cost treatment. Our guide on how to choose a cannabis CPA firm covers the wider decision.

Checklist: Choosing a Cannabis Tax Service

  • Works with licensed cannabis operators now
  • Explains 280E and COGS in plain terms
  • Prepares federal, state, and local returns
  • Calculates and tracks quarterly estimates
  • Handles state cannabis excise or gross receipts filings
  • Represents clients in IRS and state exams
  • Can prepare ASC 740 provisions for audited statements
  • Gives a clear scope and fee before starting

First-Year Foundations: Entity, Startup Costs, Inventory

These first-year facts shape every return after it. The right choice depends on your owners, plans, and state.

C Corporation

A C corporation pays federal income tax at the entity level at a flat 21% rate. Expenses disallowed under 280E raise the corporation's taxable income. Owners pay tax again on dividends.

Pass-Through Entity

Partnerships, multi-member LLCs, and S corporations pass income to owners. The 280E disallowance flows through too, so owners can owe tax on more income than they received in cash.

Startup Costs (IRC 195)

A business can elect to deduct up to $5,000 of startup costs in its first year, reduced by costs above $50,000, and amortize the rest over 180 months. How 280E affects these costs depends on the facts. See cannabis startup expense classification.

Inventory From Day One

Under 280E, cost of goods sold (IRC 471, as limited for resellers and producers) is still deductible. Capture purchase and production costs in inventory from the first purchase or harvest, tied to seed-to-sale records.

Schedule III and Medical

State-licensed medical marijuana moved to Schedule III effective April 28, 2026 (91 Fed. Reg. 22714). Adult-use remains Schedule I and subject to 280E. The IRS has not issued guidance on splitting costs between them.

State Conformity

States differ on 280E. Some, including Minnesota, let licensed businesses subtract expenses that 280E disallows federally. Our IRC 280E cannabis tax guide explains the federal rule.

Which Cannabis Tax Services Help Startups With Quarterly Estimated Payments?

A cannabis tax service should calculate your estimates using taxable income after 280E, not book profit. We project 280E taxable income each quarter and update the estimate as sales ramp.

Corporations generally must pay estimated tax if they expect to owe $500 or more, according to the IRS estimated taxes page. They use the Form 1120-W worksheet. For a calendar-year corporation, 2026 installments are due April 15, June 15, September 15, and December 15. Owners of pass-through entities pay with Form 1040-ES, with the fourth payment due January 15, 2027. See our post on 2026 Q3 estimated tax due dates.

To avoid underpayment penalties, a corporation can pay 100% of the current year's tax, or 100% of the prior year's tax if the prior year was a full 12-month year with a tax liability. A first-year corporation has no such prior year, so it must estimate current-year tax. The annualized income method can lower early payments when revenue starts slowly.

Safe Harbor Basics

  • Corporations: 100% of current-year tax, or 100% of a prior full year's tax
  • Large corporations ($1 million or more taxable income in a recent year) can use the prior-year method only for the first installment
  • Individuals: 90% of current-year tax, or 100% of prior-year tax (110% if prior-year AGI was over $150,000)
  • Corporate underpayment penalties are figured on Form 2220

Which Cannabis Tax Services Handle Federal, State, and Local Filings for Startups?

Pick one firm that prepares all three levels so the numbers agree across returns. We prepare federal income tax returns with 280E calculations, state income and franchise returns, and state cannabis excise or gross receipts filings, and payroll returns. Our state and local tax services cover multi-state work.

Register for state taxes before your first sale. Most adult-use states require a sales tax permit plus a cannabis excise or gross receipts tax account. Minnesota, for example, imposes a 15% cannabis gross receipts tax reported on the sales and use tax return, as explained by the Minnesota Department of Revenue, and does not allow local cannabis taxes. Compare rates in our cannabis tax rates by state guide.

Which Cannabis Tax Services Assist Startups Facing State Tax Examinations?

Choose a firm that can represent you, not just prepare returns. State tax agencies examine cannabis businesses for sales tax, excise or gross receipts tax, and income tax, and cash-heavy startups draw attention. We respond to notices, organize records, and represent clients through state and IRS exams with our tax controversy services.

The best defense is records that already agree with each other. Sales on your returns should match point-of-sale reports, seed-to-sale data, and bank deposits plus cash on hand. Keep records at least as long as the agency can assess tax, which is generally three years for federal income tax and can be longer in some cases. State rules vary.

Records to Keep From Day One

  • Daily POS sales and tax collected reports
  • Metrc or state seed-to-sale records
  • Bank statements, deposit slips, and cash logs
  • Vendor invoices and inventory cost support
  • Filed returns and payment confirmations
  • Payroll records and contractor forms
  • All letters from tax agencies and regulators

What Cannabis Tax Services Support Startups With ASC 740 Tax Provision Work?

Startups need an ASC 740 income tax provision once they issue GAAP financial statements, often for investors, lenders, a license application, or an audit. We prepare provisions that reflect 280E. Read navigating ASC 740 for the basics.

A cannabis provision has extra layers. Expenses disallowed by 280E are permanent differences, which push the effective tax rate well above the statutory rate. Filing positions that reduce 280E exposure may be uncertain tax positions. Under ASC 740, a position is recognized only if it is more likely than not to be sustained, and then measured at the largest amount more than 50% likely to be realized. For 2026, groups with medical and adult-use activity must also document how they split costs after the Schedule III change.

What a Startup Provision Includes

  • Current federal and state tax expense
  • Deferred tax assets and liabilities
  • Valuation allowance analysis
  • 280E permanent differences
  • Uncertain tax position reserves
  • Effective tax rate reconciliation

Cannabis Startup Tax FAQs

How should cannabis startups choose a tax service for first-year filings?

Choose a firm that already serves licensed cannabis businesses, explains IRC 280E and cost of goods sold clearly, and can prepare federal, state, and cannabis excise filings together. It should also calculate quarterly estimates, represent you in exams, and give a clear scope and fee. GreenGrowth CPAs provides these services for cannabis startups.

Which cannabis tax services help startups with quarterly estimated payments?

Look for a cannabis tax service that bases estimates on taxable income after 280E rather than book profit. GreenGrowth CPAs projects 280E taxable income each quarter and sets payments for the business and its owners. For a calendar-year corporation, 2026 installments are due April 15, June 15, September 15, and December 15.

Which cannabis tax services assist startups facing state tax examinations?

Choose a firm that offers representation, not only return preparation. GreenGrowth CPAs responds to state and IRS notices, reconciles sales across returns, point-of-sale data, seed-to-sale records, and bank deposits, and represents cannabis businesses through examinations.

What cannabis tax services support startups with ASC 740 tax provision work?

A cannabis startup needs a firm that can prepare an ASC 740 provision reflecting 280E permanent differences, deferred taxes, valuation allowances, and uncertain tax positions. GreenGrowth CPAs prepares these provisions for companies issuing GAAP financial statements to investors, lenders, or auditors.

Which cannabis tax services handle federal, state, and local filings for startups?

A full-service cannabis tax firm prepares the federal income tax return with 280E calculations, state income and franchise returns, sales tax, and state cannabis excise or gross receipts filings, and coordinates payroll and information returns. GreenGrowth CPAs handles all of these so the numbers agree across every return.

Can a first-year cannabis corporation use the prior-year safe harbor for estimated taxes?

No. The prior-year safe harbor requires a prior tax year of 12 months that showed a tax liability. A first-year corporation must base its estimates on current-year tax, and the annualized income method can lower early installments when revenue starts slowly.

Can cannabis startups deduct pre-opening costs?

IRC 195 lets a business elect to deduct up to $5,000 of startup costs in its first year, reduced by the amount that total startup costs exceed $50,000, and amortize the rest over 180 months. How 280E affects these costs depends on the facts, so classify each cost carefully.
